# Terms of Service

These Terms of Service (the “Terms”) govern use of the Hann Finance landing page, documentation, and testnet interface provided by protocol contributors (“we,” “us,” or “our”). By using <https://hann.finance>, <https://testnet.hann.finance>, or linked public resources (the “Services”), you agree to these Terms and the [Privacy Policy](/legal/privacy-policy.md), which is incorporated by reference.

## 1. Acceptance and role of the Services

The Services are non-custodial web interfaces for preparing transactions to autonomous smart contracts deployed on public blockchains (the “Protocol”) and reviewing related information.

The Protocol executes entirely on-chain. We do not take custody of assets, hold private keys, or provide asset or key recovery mechanisms. We never request your seed phrase or private key.

Some smart-contract components use open-source code, including Liquity v2-style CDP mechanisms. Anyone may fork the public code or build alternative interfaces.

## 2. Eligibility and user responsibility

* You must be at least 18 years old, or the age of legal capacity in your jurisdiction if higher, and have authority to enter into these Terms.
* You are responsible for complying with all laws that apply to you. You must not use the Services if your jurisdiction prohibits DeFi tools or the Protocol.
* The Services are globally accessible, but you must ensure that sanctions, export controls, or other restrictions do not prohibit you from using public smart contracts. You must not use the Services to circumvent applicable law.

## 3. Nature and limitations of the Services

The Services help you prepare and broadcast transactions from your wallet to the Protocol. Transactions execute on-chain under immutable contract rules. We cannot reverse, guarantee, or modify on-chain outcomes.

Metrics, explanations, and estimates displayed in the interface are not investment, legal, tax, or financial advice. You act at your own discretion.

Use of the Services is optional. You may interact with the Protocol directly or use another community interface.

## 4. Testnet scope

The current Services focus on documentation and testnet experimentation with test tokens that have no monetary value.

Testnet state, logs, and analytics may be reset or deleted without notice. Features may change rapidly during development.

When a Kaia mainnet product or production feature launches, we will update these Terms and provide additional notices required by law.

## 5. Prohibited uses

You must not:

1. Violate applicable laws, regulations, sanctions, or export-control requirements.
2. Engage in money laundering, terrorism financing, fraud, market manipulation, or other unlawful conduct.
3. Exploit bugs or security vulnerabilities, interfere with the Services, or cause overload.
4. Reverse engineer or decompile interface portions that are not open source, except where the law prohibits such restrictions.
5. Circumvent access controls or use bots, scrapers, or other automation that degrades service quality.
6. Infringe third-party rights or use the Services in an abusive, defamatory, or deceptive manner.

We do not operate geoblocking. We reserve the right to restrict or disable access if we reasonably believe a violation has occurred or the law requires it.

### Sanctions

Whether or not geoblocking is active, the Services are not intended for use by individuals or entities subject to United Nations, U.S., EU, UK, or Singapore sanctions, or people in comprehensively sanctioned jurisdictions. You must not facilitate their access to the Services.

## 6. Fees, on-chain costs, and taxes

We do not charge platform fees for the Services.

You are responsible for all on-chain transaction costs, including gas fees, Protocol fees, and fees charged by third-party wallets or bridges. Interface estimates may differ from actual execution costs.

You are solely responsible for assessing and paying taxes arising from your activities.

## 7. Risk disclosure

Digital assets and DeFi carry extreme risks. These include liquidations, redemptions, oracle errors, MEV, slippage, price volatility, gas spikes, network reorganizations or outages, client failures, governance parameter changes, bridge failures, smart-contract exploits, and loss of private keys.

**You could lose all value deposited in or transacted through the Protocol.**

## 8. Privacy

The [Privacy Policy](/legal/privacy-policy.md) governs information processing. As of the Last Updated date, the Services use only cookieless Vercel analytics.

If optional cookies or additional data collection are introduced, we will update the Privacy Policy and obtain required consent in advance.

## 9. Intellectual property

The interface, documentation, text, graphics, logos, and other Service materials are owned by or licensed to protocol contributors and protected by law.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services as provided. No additional rights are granted by implication or estoppel.

Except where permitted by law, you must not copy, modify, adapt, translate, decompile, disassemble, reverse engineer, or create derivative works of the Services.

Hann Finance names, logos, and marks belong to protocol contributors. Use beyond identifying the Services requires prior written consent.

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate them without obligation or attribution.

## 10. Changes and availability

We may modify, suspend, or discontinue any part of the Services at any time. Features, documentation, and integrations may change without notice. We do not guarantee uptime.

## 11. Third-party services and links

Wallets, RPC providers, bridges, price feeds, analytics, hosting, CDN services, community platforms, and other linked resources are operated by third parties. Protocol contributors do not control or endorse them.

You bear the risks of using third-party services and must follow their terms and privacy policies.

## 12. Disclaimer of warranties

**THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”**

To the maximum extent permitted by law, we disclaim all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, quiet enjoyment, non-infringement, accuracy, and warranties arising from a course of dealing or usage of trade.

Data, prices, and metrics may be delayed or inaccurate.

## 13. Limitation of liability

To the maximum extent permitted by law, protocol contributors and collaborators are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or loss of profits, revenue, goodwill, data, or other intangible losses arising from or relating to the Services.

Where liability cannot be excluded, it is limited to direct damages. This section does not limit liability for fraud, willful misconduct, or liability that applicable law does not allow to be waived.

## 14. Indemnification

You agree to indemnify, defend, and hold harmless protocol contributors and collaborators against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from or relating to:

* Your use of the Services.
* Your violation of these Terms or applicable law.
* Your infringement of third-party rights.

## 15. Consumer-specific terms

These Terms do not limit non-waivable consumer rights under laws that apply to you.

If mandatory rules conflict with these Terms, those rules prevail to the minimum extent required. The remaining Terms remain enforceable.

## 16. Governing law and dispute resolution

Singapore law governs these Terms, including non-contractual claims.

Disputes relating to the Services will be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC). The SIAC Rules in force when the arbitration begins apply and are incorporated by reference.

The seat and venue of arbitration are Singapore. The tribunal consists of one arbitrator, and the arbitration is conducted in English.

To the maximum extent permitted by law, proceedings must be conducted individually. Class, collective, and representative actions are waived, and claims may not be consolidated without all parties' consent.

Either party may request interim or conservatory measures from a court of competent jurisdiction, including the Singapore courts, before or during arbitration. The arbitration and related filings are confidential except as needed to enforce or challenge an award. Email service is sufficient for arbitration notices.

If you are a consumer and the mandatory law of your jurisdiction prohibits arbitration or class-action waivers, or guarantees access to small-claims court, those rights prevail to that extent.

## 17. Suspension and termination

We may immediately suspend or terminate your access if you violate these Terms, the law requires it, or continued service would create undue risk.

Provisions intended to survive remain effective after termination, including Sections 5, 7, and 9–18.

## 18. Assignment and succession

These Terms may be assigned or novated in a merger, acquisition, reorganization, or asset transfer involving the Protocol or its governance tools.

Successors must follow these Terms or provide updated terms. You may not assign your rights or obligations without prior written consent.
